PART I CONSTITUTION OF THE
MIDDLE TENNESSEE R/C CLUBS ASSOCIATION ARTICLE I - NAME, AFFILIATION AND PURPOSE
Section 1. This organization shall be known as the MIDDLE TENNESSEE R/C CLUBS ASSOCIATION. (MTRCCA) and shall be a chartered association of the ACADEMY OF MODEL AERONAUTICS (AMA).
Section 2. The purposes of the Association are to promote fellowship among pilots of different clubs; pool resources to achieve larger events while sharing the workload; and to raise money for each club that participates in MTRCCA.
ARTICLE II - MEMBERSHIP
Section 1. Membership in the Association shall be open to all current AMA Chartered Clubs in the Middle Tennessee area. The enrollment period will be January through March of each year. The enrollment period will simplify the planning and organization of the Association’s Annual Events.
Section 2. Types of Membership
Active member club - An active member club is a club who is in good standing of the Academy of Model Aeronautics (AMA) and participates in the planning and execution of the Association events. An active member club has all club rights and privileges.
Inactive member club – A member club who has not attended a monthly Association meeting for three consecutive months will be assigned an Inactive Status. In-active Clubs will not share in the profits made from Association activities. Once a Club has gone inactive, it will not be eligible to be active again until the enrollment period the following year.
Section 3. Requirements of all member clubs:
a. Each member club shall be responsible for certain activities as they relate to the promotion and support of the various activities as agreed upon by the Association.
b. To the best of their ability, every member club is encouraged to support the Association activities and to participate in the administration of Association functions such as contests, static displays or any other activity dedicated to the promotion of R/C model aircraft.
ARTICLE III - OFFICERS
Section 1. The elected Officers will be:
President, Vice President, Secretary, Treasurer and Safety Officer
Section 2. Officer nominations will be made during the October meeting. Officers will be elected annually at the November meeting. Validity of club representatives will be established prior to voting. Each member club will designate its “voting representative” and an “alternate” in the event the voting representative is not able to vote. Election of officers will be by majority vote of the member clubs present. New officers will be installed at the January meeting.
Section 3. Vacancies (except for President) occurring between elections will be filled at the first regular meeting after the vacancy is announced. Article III, Section 2 of the Constitution, valid membership and majority vote applies to filling vacancies. If the Presidency is vacated, the Vice-President will assume the position of President until the next election.
ARTICLE IV - FINANCE
Section 1. The fiscal year for MTRCCA shall be Jan. 1 through Dec. 31.
Section 2. The President, Vice-President, and any committee chairman in concert with the Treasurer, will estimate the capital available for the year and budget the expenditures for all activities planned by the Association. This budget shall be presented to the membership for approval no later than the March meeting.
Section 3. At the end of the Treasurer term of office or at the direction of the MTRCCA president, an audit shall be conducted of all financial activities of the Association.
Section 4. Auditing. The Treasurer shall provide the President each month or when required, the bank statement and the check book register. The Treasurer shall prepare and present a treasurers report each month to MTRCCA member clubs.
Section 5. The Treasurer shall use Computer Software to maintain the check register and reports. The Association shall provide this software.
Section 6. At the conclusion of each fund raising event, all Association monies in excess of $500.00 will be distributed equally to the participating member clubs.
ARTICLE V - DUES
The Association does not charge any dues.
ARTICLE VI - AMENDMENTS
Proposals for amendments to the Constitution shall be presented in writing at the regular monthly meeting in the format it is to appear in when adopted. To be adopted, the amendment must receive a 2/3rd majority affirmative vote of the active member clubs. Proxy votes are permitted and must be in writing. Each member club shall have only one vote. All member clubs will be notified in writing, or e-mail, giving the date the proposal will be voted on. Sufficient time will be allowed so each member club representative can discuss the proposed amendments with his own club.
ARTICLE VII - DISSOLUTION
Should the MTRCCA be dissolved, all assets remaining after liability settlement will be divided equally among the active member clubs at the time of dissolution.
PART II BY-LAWS
OF THE
MIDDLE TENNESSEE R/C CLUBS ASSOCIATION
ARTICLE I - ORGANIZATION
Section 1. The organization existing under these By-Laws is to be known as Middle Tennessee R/C Clubs Association (MTRCCA)
Section 2. The objectives of this organization are set forth in the Constitution.
ARTICLE II - DUTIES OF OFFICERS
Section 1. President. The President shall preside at all Association meetings of the membership and shall carry out the policies established in the Constitution and By-Laws. The President shall decide all questions of order, sign all official documents and perform all customary duties pursuant to the office of President. The President shall act as the official Association spokes person; appoint committees and may sit in on any and all committees so appointed.
Section 2. Vice-President. The Vice-President shall assume the duties and have the powers of the President in the event of his death, inability to serve, resignation, or absence.
Section 3. Secretary. The Secretary shall maintain a record of the proceedings of all meetings, maintain a membership list, carry on all correspondence, distribute copies of the minutes and dispatch any correspondence that MTRCCA originates. The Secretary shall furnish every new member club with a copy of the Association Constitution and By-Laws and any rules or regulations which may be adopted.
Section 4. The Treasurer shall collect all income, assessments and amounts owing to the Club and deposit same to the checking/savings accounts in the Association’s name. The Treasurer shall discharge all financial obligations of the Club as approved by the Executive Council or Association Club's membership. At the conclusion of the term of office, the Treasurer shall turn over all records and cash-on-hand to the duly elected successor.
Section 5. The Safety Officer will oversee all Safety issues and will conduct a
Safety Meeting before each Event to review and ensure all AMA and Association Safety Codes are met.
ARTICLE III - COMMITTEES
Section 1. There may be any number of standing committees and appointed chairman(s) as deemed necessary by the president:
Section 2. The President may appoint any other ad hoc committees deemed necessary for the orderly operation of the Association.
ARTICLE IV - MEETINGS
Monthly meetings will be held each month at a designated location agreed to and arranged by the Executive Council, starting at 6:00 p.m. Each member club shall be notified in advance of any change to the meeting time or place.
ARTICLE V - CHECKS AND FUNDS
Section 1. Checks - All checks issued in the name of the Association shall be signed by the Treasurer except in an emergency situation, then the president may sign checks.
Section 2. Funds - All funds and properties shall stand in the name of the Association. The funds of the Association shall be disbursed only as authorized by the active membership in accordance with Part I Constitution, Article IV- Finance, Section 6.
Section 3. All funds belonging to the Association shall be deposited to the credit of the Association in such depositories as shall be designated from time to time by resolution of the Executive Council.
Section 4. All disbursements shall have receipts or some written record/evidence that authorizes each disbursement for auditing purposes.
ARTICLE VI - EXECUTIVE COUNCIL
The executive council of the MTRCCA shall be comprised of the President, Vice- President, Secretary, Treasurer, and Safety Officer. This council is empowered to
set operational procedures for Association.
ARTICLE VII - NEWSLETTER
Section 1. There is no Association Newsletter at this time. All pertinent information, announcements, etc. will be published and available on the Association’s Web Site. (www.mtrcca.org, www.mtrcca.net, or www.mtrcca.org)
ARTICLE VIII - SAFETY
It is the responsibility of each member club to maintain, enforce and follow the safety practices of this Association and AMA. The Safety Officer will ensure that each new member club is informed of safety requirements and that all member clubs are kept abreast of safety practices. The Safety Officer will conduct a Safety Review Meeting prior to each Event with a representative Safety Officer from each participating member club at the site to map out various areas and look for potential areas of danger.
